Terms of Use

These Terms of Use govern the use of the Wynsell platform and set out the conditions under which users may create accounts, publish listings, communicate with other users, and subscribe to paid listing plans.

Wynsell is operated by Scaleup Marketing, with its registered office at 82 James Carter Road, Mildenhall, United Kingdom, IP28 7DE, registered under company number 15793088.

By accessing or using Wynsell, users agree to be bound by these Terms of Use.

1. About Wynsell

Wynsell is an online marketplace dedicated to the listing, discovery, buying, and selling of online and digital businesses.

The platform allows sellers to publish listings for online businesses and allows potential buyers to discover listings and communicate directly with sellers.

Wynsell acts solely as an online marketplace and technical platform connecting buyers and sellers.

Wynsell is not a broker, business advisor, financial advisor, legal advisor, agent, buyer, seller, or party to any transaction entered into between users.

2. User Accounts

Users may be required to create an account to access certain features of the platform.

Users are responsible for providing accurate, complete, and up-to-date information when creating and maintaining their accounts.

Users are responsible for maintaining the confidentiality of their login credentials and for activities carried out through their accounts.

3. Business Listings

Sellers are responsible for ensuring that all information provided in their listings is accurate, lawful, and not misleading.

This may include information relating to the business, revenue, profit, traffic, customers, operations, assets, asking price, and any other information provided to potential buyers.

Sellers remain solely responsible for the content of their listings.

Wynsell may review, suspend, refuse, or remove any listing that violates these Terms, applicable law, or the rules of the platform, including listings that appear fraudulent, misleading, unlawful, or abusive.

4. Listing Plans and Subscriptions

Wynsell offers paid monthly subscription plans for sellers who wish to publish and promote their online businesses on the platform.

The available plans and their current prices are displayed on the Wynsell website at the time of subscription.

Unless otherwise stated at checkout, subscriptions are billed on a recurring monthly basis and automatically renew until canceled by the user.

Users may cancel their subscription at any time through their account.

Cancellation prevents the subscription from renewing for a subsequent billing period. Access to the applicable paid listing features may continue until the end of the current paid billing period.

There is no long-term commitment unless explicitly stated otherwise before purchase.

Certain plans may provide additional visibility features, including featured placement, priority placement, enhanced visibility, homepage exposure, or other promotional features described on the Pricing page.

5. Payments

Subscription payments are processed online through third-party payment providers.

Wynsell does not directly store users’ complete payment card information. Payment information is processed by the applicable third-party payment provider.

By making a payment, users may also be subject to the terms and privacy policies of the relevant payment provider.

6. Cancellations and Refunds

Users may cancel their monthly subscription at any time.

Unless otherwise required by applicable law or expressly stated by Wynsell, payments already made for a current billing period are non-refundable.

Canceling a subscription prevents future renewals but does not automatically entitle the user to a refund for the current billing period.

Nothing in these Terms limits any mandatory consumer rights that cannot legally be excluded or restricted.

7. 0% Commission on Sale

Wynsell does not charge sellers a commission based on the final sale price of a business.

Sellers keep 100% of the sale price agreed with the buyer, subject to any costs, taxes, professional fees, payment fees, or other expenses independently incurred by the parties.

The monthly listing subscription is separate from the purchase price of the business.

8. Transactions Between Buyers and Sellers

Wynsell provides a platform that allows buyers and sellers to connect directly.

Wynsell does not negotiate transactions on behalf of users and does not determine the final purchase price, transaction structure, payment terms, or contractual conditions between buyers and sellers.

Unless expressly introduced as a separate service in the future, Wynsell does not hold, receive, transfer, or escrow the purchase price of businesses listed on the platform.

Buyers and sellers are solely responsible for conducting their own negotiations, due diligence, verification, legal documentation, payment arrangements, and completion of the transaction.

Users should obtain independent legal, financial, tax, or other professional advice where appropriate.

9. Due Diligence

Information contained in a listing is primarily provided by the seller.

Buyers are responsible for independently verifying any information they consider relevant before entering into a transaction.

This may include financial information, revenue, profit, traffic, ownership, intellectual property, customer information, supplier relationships, contracts, liabilities, technical assets, and other information relating to the business.

Wynsell does not guarantee the accuracy, completeness, profitability, value, legality, or future performance of any business listed on the platform.

10. Confidential Listings

Wynsell may provide features allowing sellers to limit the information displayed publicly about their businesses.

Sellers remain responsible for determining which information they choose to disclose to potential buyers.

Users receiving confidential information must use such information responsibly and in accordance with any confidentiality obligations agreed between the relevant parties.

11. Prohibited Content and Conduct

Users must not use Wynsell to publish fraudulent, false, misleading, unlawful, defamatory, infringing, or otherwise prohibited content.

Users must not attempt to misuse the platform, interfere with its operation, gain unauthorized access to accounts or systems, or use Wynsell for unlawful purposes.

Wynsell reserves the right to restrict, suspend, or terminate access to the platform and to remove listings that violate these Terms or applicable law.

12. No Guarantee of Sale

Publishing a business on Wynsell does not guarantee that the seller will receive inquiries, offers, or successfully sell the business.

Wynsell does not guarantee the number, quality, seriousness, financial capacity, or suitability of potential buyers contacting a seller.

Wynsell also does not guarantee that a business will sell at its asking price or within any particular period.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Wynsell and Scaleup Marketing shall not be responsible for losses resulting from negotiations, communications, agreements, disputes, or transactions between users.

Wynsell shall not be responsible for decisions made by users based on information contained in listings or information provided by another user.

Wynsell does not guarantee uninterrupted or error-free availability of the platform and may temporarily suspend access for maintenance, security, technical, or operational reasons.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

14. Personal Data

Personal data collected through Wynsell is processed in accordance with the Privacy Policy available on the website and applicable data protection laws.

Users may have rights regarding their personal data, including rights of access, correction, deletion, restriction, or other rights depending on the applicable law.

15. Cookies

Wynsell may use cookies and similar technologies to operate the platform, remember preferences, analyze usage, improve the user experience, and support other functions described in the applicable Cookie Policy or Privacy Policy.

Where required by applicable law, users will be provided with appropriate choices regarding non-essential cookies.

16. Intellectual Property

The Wynsell name, branding, website design, platform content, software, graphics, logos, and other materials owned by or licensed to Scaleup Marketing are protected by applicable intellectual property laws.

Users may not reproduce, copy, distribute, modify, or commercially exploit such materials without authorization, except where permitted by law.

Users retain responsibility for the content they upload and confirm that they have the necessary rights to publish such content on Wynsell.

17. Changes to These Terms

Wynsell may update these Terms of Use from time to time.

The updated version will be published on the website with an updated effective date.

Where required by applicable law, users will be informed of material changes.

Continued use of the platform following the effective date of updated Terms constitutes acceptance of those Terms to the extent permitted by applicable law.

18. Governing Law and Disputes

These Terms are governed by the laws applicable to Scaleup Marketing, subject to any mandatory legal rights or protections that may apply to users based on their place of residence.

In the event of a dispute, the parties are encouraged to attempt to resolve the matter amicably before initiating formal proceedings.

Any dispute that cannot be resolved amicably shall be submitted to the competent courts in accordance with applicable law.
